These Terms of Service ("Terms") govern your use of the ActoRev platform, mobile applications, website, and related services (collectively, the "Services"). By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility

To use ActoRev, you must be at least 16 years old (or the minimum age for digital consent in your country) and have the legal capacity to enter into a binding contract. If you are under that age, your parent or legal guardian must approve your use and is responsible for your activity.

3. Privacy & Data Protection

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, share, and protect your personal data in accordance with Swiss revDSG and GDPR. Certain features may require explicit consent.

4. Account Registration & Security

You agree to provide accurate information, keep your credentials confidential, and notify us of any unauthorized use of your account. ActoRev is not liable for loss caused by failure to safeguard your credentials.

You agree not to misuse the Services. Prohibited actions include, without limitation: unauthorized access, introducing malware, reverse engineering, falsifying health data, or otherwise interfering with platform operations.

6. Wearable Device Integrations

You may connect external devices or health data services to the Services. You choose what to share and may revoke access at any time. ActoRev is not responsible for the accuracy, completeness, or availability of data provided by third parties.

7. Expert and Program Access (Optional)

If you join a program, you may grant data access to experts (e.g., clinicians, coaches, or other professionals). You can revoke expert access at any time via the platform settings. ActoRev does not control, endorse, or assume responsibility for any advice provided by experts.

8. Health & Medical Disclaimers

ACTOREV PROVIDES WELLNESS ANALYTICS AND LIFESTYLE SUPPORT, NOT MEDICAL ADVICE. The Services do not diagnose, treat, cure, or prevent any disease and are not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider with questions about your health.

9. Intellectual Property

All software, content, designs, trademarks, and branding associated with the Services are the intellectual property of ActoRev or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal use only. You may not copy, modify, distribute, sell, lease, or reverse engineer any part of the Services unless permitted by law.

10. User Content

You retain ownership of any content you submit or upload to the Services. By using the Services, you grant ActoRev a worldwide, non-exclusive, royalty-free license to store, process, and display your content as necessary to operate and improve the Services. You represent and warrant that your content does not violate applicable laws or third-party rights.

11. Beta Features

We may offer beta or experimental features from time to time. These features may be incomplete, unstable, or subject to change. Your use of beta features is voluntary and at your own risk.

12. No Warranty

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free from harmful components.

13. Limitation of Liability

To the fullest extent permitted by law, ActoRev and its affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits or data, arising out of or in connection with your use of the Services. In any event, ActoRev’s total aggregate liability for any claim shall not exceed the amounts you paid (if any) for the Services in the six (6) months preceding the claim.

14. Payments (Future Paid Services)

ActoRev is currently offered free of charge. We may introduce paid features or subscription plans in the future, which will be subject to additional or updated terms at that time.

15. Termination

You may delete your account and stop using the Services at any time. ActoRev may suspend or terminate your access to the Services if you breach these Terms, misuse the platform, or as required by law. Provisions that by their nature should survive termination (such as intellectual property, limitations of liability, and dispute resolution) shall continue in effect.

16. Modification of the Services

ActoRev may update, modify, or discontinue parts or all of the Services at any time. Where reasonably possible, we will provide notice of material changes or discontinuation.

17. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated via email, in-app notification, or through the website. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the changes.

ActoRev shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, governmental actions, internet or network failures, or power outages.

19. Governing Law & Jurisdiction

These Terms are governed by the laws of Switzerland, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland, subject to any mandatory consumer protection rules that apply in your country of residence.

20. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies referenced herein, constitute the entire agreement between you and ActoRev regarding the use of the Services.

21. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

22. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. ActoRev may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, corporate restructuring, or sale of assets, as permitted by law.
